These Terms of Service govern your use of Web Craft Studio's website and services. By engaging with our studio or accessing our site, you agree to be bound by the terms described below.

   Acceptance of Terms

   By accessing our website, submitting an inquiry, or engaging our services, you agree to comply with and be legally bound by these Terms of Service. If you do not agree to these terms, please discontinue use of our website and services immediately. These terms apply to all visitors, clients, and anyone who interacts with our studio.

2. 02.

   Services Provided

   Web Craft Studio provides professional web design services including page layout and structure design, UI visual design, mobile adaptation, graphic asset preparation, navigation and readability improvements, and visual style consulting. The specific scope of services for each engagement is defined in a separate project agreement or proposal signed by both parties.

3. 03.

   Project Agreements

   All client engagements are governed by a written project agreement that outlines the scope of work, deliverables, timeline, and payment terms. Work will not commence until a project agreement has been signed by both parties and any required deposit has been received. The project agreement supersedes any prior verbal or written discussions regarding scope.

4. 04.

   Payment Terms

   Payment schedules are defined in each individual project agreement. Typically, a deposit of 50% is required before work begins, with the remaining balance due upon project completion and prior to delivery of final files. Late payments may incur a monthly fee of 1.5% on the outstanding balance after a 10-day grace period.

5. 05.

   Intellectual Property — Studio Work

   All design work, concepts, mockups, and deliverables created by Web Craft Studio remain the intellectual property of the studio until full payment has been received. Upon receipt of final payment, the client is granted full ownership rights to the agreed-upon deliverables as specified in the project agreement. Preliminary concepts and rejected designs remain the property of Web Craft Studio.

6. 06.

   Intellectual Property — Client Materials

   Clients warrant that all materials, content, logos, images, and brand assets provided to us for use in a project are owned by the client or that the client has the legal right to use them. Web Craft Studio is not responsible for any intellectual property infringement arising from client-supplied materials. Clients agree to indemnify the studio against any claims arising from such materials.

7. 07.

   Revision and Feedback

   Each project agreement specifies the number of included revision rounds. Additional revisions beyond the agreed limit will be billed at our standard hourly rate. Feedback should be provided in written form and consolidated into a single communication per revision round. Feedback received outside of the established process may extend the project timeline.

8. 08.

   Project Timelines

   Estimated timelines are provided in good faith based on the agreed scope of work. Delays caused by late feedback, client unavailability, or scope changes may extend the delivery schedule. Web Craft Studio will communicate any timeline adjustments promptly and is not liable for damages arising from project delays outside of our reasonable control.

9. 09.

   Confidentiality

   Both parties agree to treat as confidential any proprietary business information shared during the course of a project, including business strategies, unreleased product information, and internal brand materials. This confidentiality obligation survives the termination of any project agreement. Web Craft Studio will not disclose client information to third parties without written consent, except as required by law.

10. 10.

    Portfolio Rights

    Unless the client requests otherwise in writing, Web Craft Studio reserves the right to display completed work in our portfolio, on our website, and in marketing materials. We may reference the client's company name and describe the nature of the engagement. Specific details that are commercially sensitive will not be disclosed without explicit written permission.

11. 11.

    Termination by Client

    Clients may terminate a project at any time by providing written notice. In the event of client-initiated termination, the client is responsible for payment of all work completed up to the date of termination, calculated at our standard hourly rate for time logged. The initial deposit is non-refundable upon project initiation, as detailed in our Refund Policy.

12. 12.

    Termination by Studio

    Web Craft Studio reserves the right to terminate a project engagement if a client engages in abusive, harassing, or unethical conduct, or if payment obligations are not met after written notice. In such cases, the client will be invoiced for all work completed to date. We will make reasonable efforts to resolve disputes before terminating an engagement.

13. 13.

    Limitation of Liability

    Web Craft Studio's liability for any claim arising from a project engagement shall not exceed the total amount paid by the client for the specific project at issue. We are not liable for indirect, consequential, or incidental damages including lost profits or business interruption. Design work is provided as-is upon final approval by the client.

14. 14.

    No Warranties

    While we strive to deliver the highest quality design work, Web Craft Studio does not guarantee specific business outcomes, traffic increases, or conversion rate improvements resulting from our design services. Design deliverables are creative works and their commercial impact depends on many factors beyond our control. We make no warranties beyond those explicitly stated in a project agreement.

15. 15.

    Website Use

    You may use our website for lawful purposes only. You agree not to use our site to transmit harmful, fraudulent, or malicious content, to attempt unauthorized access to any system, or to engage in conduct that interferes with others' use of the website. We reserve the right to terminate access to our website for any user who violates these terms.

16. 16.

    Governing Law

    These Terms of Service are governed by the laws of the State of Colorado, without regard to its conflict of law provisions. Any dispute arising from these terms or from a project engagement shall be resolved in the courts located in Arapahoe County, Colorado, and both parties consent to the personal jurisdiction of those courts.

    Changes to Terms

    We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with a revised effective date. Continued use of our website or services after such changes constitutes your acceptance of the updated terms. We recommend reviewing this page periodically to remain informed of your rights and obligations.

   Nature of Our Services

   Web Craft Studio provides custom professional design services. Because each project involves unique creative labor, time investment, and resources allocated from the moment work begins, refunds are handled on a case-by-case basis and are subject to the conditions outlined in this policy. All clients are encouraged to review this policy before engaging our services.

2. 02.

   Non-Refundable Deposits

   All deposits paid at the commencement of a project are non-refundable. The deposit compensates the studio for blocking time in our schedule, conducting discovery, and performing initial design work. This applies regardless of the reason for cancellation. The deposit amount and percentage are defined in each individual project agreement.

3. 03.

   Cancellation Before Work Begins

   If a client cancels a project after signing an agreement but before any design work has commenced, the deposit will be retained as a cancellation fee. No additional charges will be applied beyond the deposit amount. To qualify as a pre-work cancellation, written notice must be received before any design files, wireframes, or creative assets have been produced.

4. 04.

   Cancellation After Work Has Begun

   If a client cancels a project after design work has commenced, the client will be invoiced for all work completed to the date of cancellation, calculated at our standard hourly rate. Any amount paid beyond the value of completed work will be refunded to the client within 14 business days. The deposit will be applied toward the total amount owed for completed work.

5. 05.

   Refunds for Approved Deliverables

   Once a client has formally approved a deliverable — whether by written sign-off, email confirmation, or commencement of the next project phase — no refund will be issued for that deliverable. Client approval constitutes acceptance of the work as satisfactory. We strongly encourage clients to review all work carefully before providing formal approval.

6. 06.

   Refunds for Unapproved Work

   If the studio delivers work that materially deviates from the agreed specifications and the client has not yet approved it, the client may request revisions at no additional charge within the revision limit specified in the project agreement. If the studio is unable to deliver work that meets the agreed specifications after a reasonable number of attempts, a partial or full refund may be negotiated in good faith.

7. 07.

   Scope Changes and Refund Eligibility

   Refunds will not be issued for dissatisfaction arising from client-initiated scope changes, design direction shifts, or changes in business strategy that occur after project work has begun. If a client redirects the project scope significantly, the original agreement terms apply to the scope as originally defined. Additional work resulting from scope changes will be billed separately.

8. 08.

   Consulting Sessions

   Fees paid for completed consulting sessions, strategy calls, or brand audits are non-refundable once the session has taken place. If a session is cancelled by the client with less than 24 hours' notice, the session fee will be forfeited. Cancellations made more than 24 hours in advance may be rescheduled at no charge.

9. 09.

   Monthly Retainer Engagements

   Monthly retainer agreements may be cancelled with 30 days' written notice. Fees paid for the current billing month are non-refundable, as that capacity has been reserved exclusively for the client. Unused hours within a billing period do not roll over and are not refundable. Future months not yet billed will not be charged after the notice period expires.

10. 10.

    Studio-Initiated Cancellations

    In the rare event that Web Craft Studio must cancel a project engagement due to unforeseen circumstances, the client will receive a full refund of any payment made for work not yet delivered. We will provide reasonable advance notice and assist in transitioning any completed work to the client or their new provider wherever possible.

11. 11.

    How to Request a Refund

    To initiate a refund request, please contact us in writing using the contact information provided at the bottom of this page. Your request should include your name, company name, project reference, the reason for the request, and the amount you believe is owed. We will acknowledge your request within 3 business days and provide a formal response within 10 business days.

12. 12.

    Refund Processing Time

    Approved refunds will be processed within 14 business days of written confirmation. Refunds are issued via the original payment method wherever possible. If the original payment method is no longer available, we will work with the client to arrange an alternative. We are not responsible for delays caused by banks or payment processors beyond our control.

13. 13.

    Dispute Resolution

    We are committed to resolving any disputes fairly and promptly. If you are dissatisfied with our services or a refund decision, we encourage you to contact us directly before pursuing any external dispute resolution. We will make every reasonable effort to reach a mutually agreeable solution. Formal disputes unresolved through direct communication shall be handled in accordance with the governing law provisions of our Terms of Service.

14. 14.

    Currency and Taxes

    All project fees and refunds are denominated in US Dollars. Clients are responsible for any applicable taxes, banking fees, or currency conversion costs associated with payments or refunds. Web Craft Studio is not responsible for exchange rate fluctuations that may affect the value of refunds received by international clients.

15. 15.

    Policy Updates

    This Refund Policy may be updated periodically to reflect changes in our business practices or applicable regulations. The version in effect at the time a project agreement is signed governs that specific engagement. We recommend reviewing this policy before entering into any new agreement with Web Craft Studio.
